The name of this association shall be The Oklahoma Pecan Growers' Association.
The purpose of this association shall be to encourage pecan culture and to promote the best interest of the pecan growers of the state of Oklahoma. This association shall be a not for profit association.
Any person interested in pecans is eligible for annual membership. Types of membership are:
1. Regular (includes growers and interested parties)
2. Research and Extension (including students)
The officers of this association shall consist of a President, Vice-President, Secretary, Treasurer, and Editor. Officers shall be elected at an annual association meeting and serve for a two-year period. A year is defined as from the end of the regular annual association meeting to the next regular annual association meeting.
The duties of the officers and directors of this association shall be such as usually devolve upon such officers and directors of similar associations.
The term of service for the Executive Board shall commence at the close of the annual meeting.
The following committees shall be appointed annually by the president:
1. Audit 6. Place
2. Awards 7. Program
3. Local arrangements 8. Resolutions
4. Membership 9. Others as needed
A majority of the Executive Board shall constitute a quorum for the transaction of business.
Twenty-five members of the association shall constitute a quorum at any annual or special association meeting.
The by-laws of the association may be amended by a majority vote of the members present and voting at any annual or special meeting.
The annual dues for membership in the association shall be recommended by the Executive Board and approved by a majority vote of the membership present and voting at any annual or special association meeting. Membership dues are effective from January 1 to December 31 of the year in which they are paid. The amount of annual dues for membership in the association as of June 2003 are:
Research & Extension—$40.00
Any officer, director, or member of the association may be expelled for cause by a two-thirds majority vote of the membership present and voting at any annual or special association meeting.
In the event of the dissolution of the Oklahoma Pecan Growers' Association, the Executive Board shall, after paying or making provisions for payment of all obligations of the association, transfer all assets to the Oklahoma State University Department of Horticulture, Stillwater, Oklahoma to be used for pecan research purposes.
